5. Intellectual Property
- All materials, designs, code, and content created by Sokie Digital remain our property until full payment has been received.
- Upon full payment, ownership of final deliverables transfers to the client, unless otherwise agreed in writing.
- Sokie Digital reserves the right to showcase completed work in our portfolio and marketing materials.
6. Use of Services
Clients may not use Sokie Digital’s services for unlawful purposes, including but not limited to:
- Distributing harmful or illegal content.
- Engaging in fraud, spam, or intellectual property violations.
- Any activities that could damage Sokie Digital’s reputation or systems.
7. Confidentiality
Both parties agree to maintain the confidentiality of all non-public business information shared during the course of the project, unless disclosure is required by law.
8. Limitation of Liability
- Sokie Digital is not liable for indirect, incidental, or consequential damages.
- We do not guarantee specific outcomes (e.g., search engine rankings, sales figures, or revenue results) from marketing campaigns.
- Our liability for direct damages will not exceed the total amount paid by the client for the services rendered.
9. Warranties & Disclaimers
- Sokie Digital provides services on an “as-is” basis.
- We do not warrant that services will be uninterrupted, error-free, or secure.
- While we take reasonable precautions, we cannot guarantee absolute protection against cyberattacks or third-party disruptions.
10. Termination
Either party may terminate an agreement with written notice. Termination does not relieve the client of the obligation to pay for work completed or expenses incurred prior to termination.
11. Modifications to Terms
Sokie Digital may revise these Terms at any time. Updates will be posted on our website, and continued use of services after changes constitutes acceptance of the revised Terms.
12. Governing Law
These Terms shall be governed by and construed under the laws of the State of Tennessee, United States, without regard to conflict-of-law principles.
